Terms of Use
Seattle Foodie Passport
These Terms of Use (these “Terms”) govern your access to and use of the website located at seattlefoodiepassport.com, including the online store through which the Seattle Foodie Passport Book is sold (the “Site”), and your purchase and use of the Seattle Foodie Passport Book (together with the Site, the “Services”). The Services are provided by Seattle Foodie Passport LLC, a Washington limited liability company (“SFP,” “we,” “us,” or “our”).
PLEASE READ THESE TERMS CAREFULLY. SECTION 16 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES BETWEEN YOU AND SFP ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 16.
1. Acceptance of These Terms
By checking the box at checkout indicating that you agree to these Terms, or by otherwise accessing or using the Services, you agree to be bound by these Terms, including the Offer Terms (Section 4), which are incorporated into these Terms by reference. These Terms are posted at seattlefoodiepassport.com/terms-of-use. Our Privacy Policy, available at seattlefoodiepassport.com/privacy-policy, explains how we collect, use, and share your information. If you do not agree to these Terms, do not use the Services or purchase a Passport Book.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to purchase a Passport Book. By making a purchase, you represent that you meet these requirements and that you are authorized to use the payment method you provide.
3. The Seattle Foodie Passport Program
3.1 What the Passport Book Is
The Seattle Foodie Passport program (the “Program”) is built around an annual printed book (the “Passport Book” or “Book”) containing promotional offers (each, an “Offer”) from independently owned restaurants, food and beverage establishments, and other local businesses, including entertainment, recreational, personal care, and wellness businesses, in Western Washington (each, a “Participating Business”). Each Passport Book is published for a single edition year, printed on its cover (the “Edition Year”), and its Offers are valid from January 1 through December 31 of the Edition Year, unless an Offer states otherwise.
3.2 SFP’s Role
SFP publishes and sells the Passport Book. SFP does not own, operate, manage, or control any Participating Business. Each Offer is made by the Participating Business named on it, which is solely responsible for honoring it and for its food, beverages, services, premises, and staff. Each Participating Business has agreed with SFP to honor its Offer in accordance with its printed terms during the Edition Year. Participating Businesses pay SFP a fee to be included in the Passport Book and on the Site. Descriptions, photos, and video reviews of Participating Businesses on the Site, in the Passport Book, and on SFP’s social media channels are promotional content created by or for SFP.
3.3 Promotional Offers, Not Gift Certificates
Each Offer is a promotional discount, not a gift certificate, gift card, or stored-value instrument. As required by Washington law (RCW 19.84.010), each Offer states a redeemable cash value of 1¢. That 1¢ value does not expire and may be redeemed by emailing help@seattlefoodiepassport.com; an Offer redeemed for its cash value may not also be used for its discount. Other than that 1¢ value, an Offer has no cash value and cannot be exchanged for cash, credit, or a refund.
4. Offer Terms
The rules that apply to using the Passport Book and redeeming Offers (the “Offer Terms”) are printed in each Passport Book and posted at seattlefoodiepassport.com/passport-terms. The Offer Terms are part of these Terms. The key rules include:
Physical Book required. Tell staff you are using the Passport Book, and present the complete, physical Passport Book, at the time of ordering or booking. Detached, photocopied, scanned, photographed, digital, altered, or otherwise reproduced Offers will not be accepted.
Single use. Each Offer other than a Wildcard may be redeemed only once, unless the Offer states otherwise, and will be signed, stamped, or marked by the Participating Business when redeemed.
Wildcard Offers. Some Participating Businesses offer a bonus “Wildcard” Offer, usually for purchasing items that vary from day to day. Wildcards are Offers subject to the Offer Terms. Unless the Wildcard states a different limit, a Wildcard may be redeemed on any visit during the Edition Year, up to once per day per Passport Book, and requires presenting the complete Passport Book. Wildcards are not signed or marked, unless stated otherwise.
One Offer per table or party per visit, unless the Offer states otherwise. Restaurant Offers are dine-in only unless the Offer states otherwise.
No alcohol. No Offer may be applied to alcoholic beverages. If a bill includes alcohol, the discount applies only to the food and non-alcoholic beverage portion of the bill. Minimum-spend requirements are calculated on food and non-alcoholic items only.
Offer-specific restrictions. Restrictions printed on an Offer (for example, dine-in only, blackout dates, minimum party size, reservation requirements, age restrictions, capacity limits, booking fees, peak or off-peak limits, participating locations, or buy-one-get-one Offers limited to an item of equal or lesser value) apply to that Offer.
Discount at purchase. Discounts are applied at the time of purchase. Offers do not create store credit, gift cards, vouchers, or account balances.
Unavailable items. If a featured item is unavailable, the Participating Business will substitute an item of equal or greater value, unless the Offer states otherwise.
Not combinable with any other offer, discount, promotion, or loyalty reward unless the Participating Business agrees.
Gratuity should be calculated on the full, pre-discount amount of the bill.
If these Terms and the Offer Terms conflict on how an Offer is used or redeemed, the Offer Terms control (unless these Terms expressly amend a provision of the Offer Terms). If the Offer Terms and the terms printed on a specific Offer conflict, the terms printed on the Offer control for that Offer. These Terms control on all other matters, including purchases, refunds, liability, and dispute resolution.
5. Purchases and Payment
5.1 Orders
All orders are subject to acceptance by SFP. We may limit quantities, refuse or cancel any order (for example, because of suspected fraud, unauthorized resale, or a pricing or product error), and will refund any amount charged for an order we cancel. Prices are stated in U.S. dollars and do not include applicable sales tax or shipping charges, which are shown at checkout.
5.2 Payment
Payments are processed by our third-party payment processors. By submitting an order, you authorize SFP and its payment processors to charge your payment method for the order total. SFP does not receive or store your full payment card number. If you dispute a charge with your card issuer for an order you received, we may cancel your order or decline future orders.
5.3 Purchases for Resale
Passport Books are sold for personal use and for gifting. You may not resell Passport Books or Offers commercially, or offer them through any auction, marketplace, or deal platform, without SFP’s prior written consent.
6. Shipping and Delivery
We will ship your order by the estimated ship date stated on the product page or in your order confirmation. Passport Books for an upcoming Edition Year may be sold before they are printed, and those orders will ship once the Book is available. If we cannot ship by the stated date (or within 30 days of your order if no date is stated), we will notify you, give you a revised shipping date if we have one, and give you the option to cancel your order for a full refund.
If your Passport Book does not arrive, please contact us at help@seattlefoodiepassport.com within 30 days after the estimated delivery date and we will send a replacement. We are not responsible for Books delivered to an incorrect address that you provided.
7. Cancellations, Refunds, and Replacements
Before shipment. You may cancel your order for a full refund at any time before it ships by emailing help@seattlefoodiepassport.com.
After shipment. Once your order has shipped (or you have received a Book purchased in person), all sales are final, except as stated in this Section 7.
Damaged or defective Books. If your Book arrives damaged or with missing or misprinted pages, contact us within 30 days of delivery and we will replace the Book or, if a replacement is not available, refund the purchase price.
Lost or stolen Books. We do not replace or refund Books that are lost, stolen, or damaged after delivery.
Participating Business changes. Because the Book is printed once a year, a Participating Business may close, relocate, change ownership, change its menu, or stop participating during the Edition Year. These changes do not entitle you to a refund. Where reasonably possible, SFP will post updates on the Site and may, in its discretion, offer a substitute Offer.
Approved refunds are issued to the original payment method. Nothing in this Section 7 limits any refund right you have under applicable law.
8. Participating Businesses
Participating Businesses are independent businesses. SFP selects and contracts with Participating Businesses but does not prepare or serve food, provide services, inspect premises, or supervise staff, and does not guarantee the quality, safety, availability, pricing, or accessibility of any Participating Business’s food, beverages, services, or premises. Menus, services, ingredients, products, hours, and prices are set by each Participating Business and may change.
Food allergies and dietary needs. SFP does not verify ingredients or food preparation practices. If you have a food allergy or dietary restriction, ask the Participating Business before ordering.
Entertainment, recreational, personal care, and wellness services. Some Offers are for activities or services (for example, entertainment, classes, salon, or massage services) that carry a risk of injury or reaction. These are provided solely by the Participating Business under its own licenses, rules, waivers, consent forms, age requirements, and booking policies. Tell the provider about any allergies, sensitivities, or conditions before receiving services.
If an Offer is not honored. Ask to speak with a manager. If the issue is not resolved, contact us at help@seattlefoodiepassport.com with the business’s name, the date of your visit, and a description of the issue. We will work with the Participating Business to resolve it.
9. Accounts and Communications
If you create an account on the Site, you are responsible for keeping your login credentials confidential and for all activity under your account. By purchasing a Passport Book or providing your email address, you agree that SFP may send you transactional emails about your order and the Program. If you subscribe to our newsletter or marketing emails, you may unsubscribe at any time using the link in any marketing email or by emailing us. We do not send marketing text messages without your separate, affirmative consent.
10. Intellectual Property
The Site, the Passport Book, and their content, including text, design, layout, photographs, graphics, maps, the “Seattle Foodie Passport” and “Seattle Foodie” names and logos, and the selection and arrangement of Participating Businesses and Offers (collectively, “SFP Content”), are owned by SFP, its affiliates, or its licensors and are protected by copyright, trademark, and other laws. Participating Business names and logos belong to their respective owners and are used with permission. We grant you a limited, revocable, non-transferable license to view the Site and use the Passport Book for your personal, non-commercial use under these Terms. You may not copy, reproduce, scan, distribute, publish, or create derivative works from SFP Content, or use our names or logos, without our prior written consent.
11. Your Submissions
If you send us or post content in connection with the Services (for example, reviews, photos, comments, tags, or feedback) (“Submissions”), you grant SFP a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, display, and distribute those Submissions in connection with the Services and SFP’s marketing, with attribution (for example, your name or social media handle) where reasonably practical. You represent that you have the right to grant this license and that your Submissions do not violate any law or anyone else’s rights. Other than attributing your Submissions as described above, we will not publish your name or likeness in advertising without your permission, except as you have made it public (for example, by tagging us in a public social media post). Any contest, giveaway, or survey we run is also subject to the official rules or instructions posted for it, which control over these Terms for that contest, giveaway, or survey.
12. Prohibited Uses
You agree not to: (a) use the Services for any unlawful or fraudulent purpose; (b) reproduce, counterfeit, alter, or tamper with any Passport Book or Offer, or attempt to redeem an Offer more times than these Terms, the Offer Terms, or the Offer allow; (c) resell Passport Books or Offers in violation of Section 5.3; (d) scrape, copy, or harvest content or data from the Site by automated means; (e) interfere with the security or operation of the Site; or (f) harass, abuse, or misrepresent yourself to SFP or any Participating Business. SFP may void any Offer or Passport Book obtained or used in violation of these Terms.
13. Third-Party Sites and Services
The Site may link to or embed content from Participating Businesses’ websites, social media platforms (such as embedded Instagram videos), reservation services, map services, and other third-party sites and services. SFP does not control and is not responsible for their content, policies, or practices, and your use of them is governed by their own terms.
14. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES, THE PASSPORT BOOK, AND ALL SFP CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SFP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SFP MAKES NO WARRANTY REGARDING THE FOOD, BEVERAGES, SERVICES, PREMISES, OR CONDUCT OF ANY PARTICIPATING BUSINESS, OR THAT ANY PARTICIPATING BUSINESS WILL REMAIN OPEN OR IN THE PROGRAM FOR THE ENTIRE EDITION YEAR. BUSINESS DESCRIPTIONS, PHOTOGRAPHS, MENU AND SERVICE INFORMATION, HOURS, AND MAPS ARE PROVIDED FOR CONVENIENCE AND MAY CHANGE.
Nothing in these Terms limits any right you have that cannot be waived or limited under applicable law, including the Washington Consumer Protection Act (chapter 19.86 RCW) or chapter 19.84 RCW.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) SFP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS; (B) SFP WILL NOT BE LIABLE FOR ANY ACT OR OMISSION OF A PARTICIPATING BUSINESS, INCLUDING ANY ILLNESS, ALLERGIC OR OTHER REACTION, INJURY, PROPERTY DAMAGE, OR LOSS OCCURRING AT OR ARISING FROM A PARTICIPATING BUSINESS; AND (C) SFP’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID SFP FOR THE PASSPORT BOOK(S) GIVING RISE TO THE CLAIM.
These limitations do not apply to liability for SFP’s gross negligence, willful misconduct, or any liability that cannot be limited under applicable law.
16. Dispute Resolution; Arbitration; Class Action Waiver
16.1 Informal Resolution
Before starting any arbitration or court proceeding, you and SFP each agree to try to resolve the dispute informally by sending a written description of the dispute (to SFP at sfp@seattlefoodie.com, or to you at the email address associated with your order) and negotiating in good faith for at least 30 days.
16.2 Agreement to Arbitrate
Except as provided in Section 16.4, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any Passport Book (a “Dispute”) will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures and the JAMS Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards of Procedural Fairness. Your share of arbitration filing fees will not exceed the amount allowed by those consumer standards, and SFP will pay all other JAMS fees and arbitrator compensation. The arbitration will be held by video conference or in the county where you reside, at your election. The arbitrator may award the same individual relief a court could award. This agreement to arbitrate is governed by the Federal Arbitration Act.
16.3 Class Action Waiver
YOU AND SFP AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person. If this Section 16.3 is found unenforceable as to a particular claim, that claim (and only that claim) will be severed from the arbitration and heard in court under Section 17, after the arbitration of any remaining claims.
16.4 Exceptions
Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive relief in court to stop infringement or misuse of its intellectual property.
16.5 30-Day Opt-Out
You may opt out of this Section 16 by emailing help@seattlefoodiepassport.com within 30 days after your first purchase, with your name, the email address used for your order, and a statement that you opt out of arbitration. Opting out will not affect any other part of these Terms.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. Any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in King County, Washington, and you and SFP consent to the personal jurisdiction of those courts.
18. Changes to These Terms
We may update these Terms from time to time by posting the revised Terms on the Site with a new “Last Updated” date. If a change is material, we will provide notice on the Site or by email. Changes apply to purchases made and Site use occurring after the effective date of the change. A change will not alter the terms of any Offer or the refund terms that applied when you purchased your Book.
19. Termination
We may suspend or terminate your access to the Site, cancel pending orders (with a refund), or void Offers used in violation of these Terms, if you violate these Terms or engage in fraudulent activity. Sections 3.3, 5.3, 10, 11, 12, and 14 through 20 survive any termination.
20. General
These Terms, together with the Offer Terms, are the entire agreement between you and SFP regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or a successor to our business. Headings are for convenience only. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and SFP, or between SFP and any Participating Business.
21. Contact Us
